SEO Subscription Agreement

This SEO Subscription Agreement (“Agreement”) is made between Web Loft Designs, hereinafter referred to as “Service Provider,” and You, hereinafter referred to as “Client.” By subscribing to SEO services, the Client agrees to the terms outlined below.

1. Scope of Services

The Service Provider agrees to provide ongoing SEO services, as outlined here, which may include, but are not limited to:

On-page optimization (meta tags, keyword placement, content optimization)
Off-page SEO (backlink building, citations, social signals)
Technical SEO (site audits, speed optimization, structured data implementation)
Local SEO (Google My Business optimization, local citations)
Content creation (blog writing, landing page enhancements)
Monthly reporting and recommendations
Competitor analysis and strategy adjustments

SEO services will be tailored to the Client’s business goals but will not include web development, paid advertising (PPC), or social media management unless explicitly agreed upon in writing.

2. Subscription Fees & Payment Terms

2.1 Payment & Billing

The Client agrees to pay [amount] per [billing cycle: monthly, quarterly, annually] for SEO services.
Payments will be automatically charged to the Client’s credit card, PayPal, or other agreed payment method at the beginning of each billing cycle.
Late payments may result in service suspension until payment is received.

2.2 Chargebacks & Disputes

The Client agrees not to file a chargeback or dispute payments through the payment processor.
Any billing disputes must be addressed directly with the Service Provider in writing.
Chargebacks filed without prior written communication will be considered a breach of contract, and the Client will be liable for all fees associated with the dispute.

3. Cancellation & Refund Policy

3.1 Cancellation Notice

The Client may cancel their SEO subscription by providing a written request via email to [Your Email] at least 3 business days before the next billing cycle.
Cancellation requests must be confirmed in writing by the Service Provider before being considered valid.
The Client understands that canceling the subscription will pause all SEO work, and any ongoing tasks will not be completed.

3.2 Refund Policy

No refunds will be issued for work already performed.
Prepaid SEO fees for the current billing cycle are non-refundable, as SEO services require ongoing labor and resources.

4. No Guarantee of Rankings

The Client acknowledges and agrees that:

SEO results are not guaranteed, as search engine algorithms constantly change.
The Service Provider will use best practices and industry-standard SEO techniques to improve rankings, but no specific ranking, traffic increase, or revenue can be promised.
SEO is a long-term strategy, and results may take several months to become noticeable.

5. Client Responsibilities

To ensure effective SEO services, the Client agrees to:

Provide access to website backend (WordPress, Shopify, etc.), Google Analytics, Google Search Console, and any other necessary tools.
Supply necessary information, such as business details, services, content approvals, or images when requested.
Not make unauthorized changes to the website that could negatively impact SEO performance.

Failure to provide requested materials may delay progress, and the Client acknowledges that the Service Provider is not responsible for delays caused by the Client’s lack of responsiveness.

6. Confidentiality & Data Protection

The Service Provider agrees to keep all Client information, website credentials, and analytics confidential.
The Client’s SEO strategies, reports, and proprietary methodologies are for internal use only and may not be shared with third parties without written consent.
The Service Provider may use anonymous case studies to showcase results unless the Client requests exclusion in writing.

7. Intellectual Property

All content, backlinks, and SEO work created by the Service Provider remain the property of the Client unless otherwise stated.
If the Client cancels SEO services, all work completed up to the cancellation date remains active, but ongoing updates will cease.

8. Limitation of Liability

The Service Provider shall not be liable for:
- Loss of search engine rankings due to algorithm updates.
- Website downtime caused by server issues or third-party changes.
- Negative SEO impacts due to unauthorized changes made by the Client or third parties.
- Any business losses, revenue decrease, or damages resulting from SEO services.

The Client agrees that SEO is an evolving industry and understands that search engines may make updates that impact performance.

9. Modifications to Agreement

The Service Provider reserves the right to update this Agreement as needed.
Clients will be notified of any material changes at least 30 days in advance.
Continued use of services after updates indicates acceptance of revised terms.
